ECL is governed by two bodies of executive members: its shareholders and its board of directors. The board of directors is responsible for the firm’s overall management, making strategic and operational decisions, and ensuring the company complies with all legal obligations.

The directors, appointed by the shareholders to manage daily affairs, are expected to act collectively as a board. However, the board can delegate specific powers to individual directors or committees. Directors may also serve as shareholders or employees, which can entail additional responsibilities. Their primary duties include:

• Acting within their defined powers.
• Promoting the company’s success.
• Exercising independent judgment.
• Demonstrating reasonable care and skill.
• Avoiding conflicts of interest.
